Delaware corporations’ management can’t hold back information from their directors, the Court of Chancery has determined in a case of first impression involving the parent company of the shared-workspace company WeWork.

Chancellor Andre Bouchard ruled that members of a special committee formed from The We Company’s board of directors are entitled to discovery of privileged documents. Those documents relate to the forming of a second committee and whether that committee was influenced by the company’s management, including its CEO, who had been chosen by another defendant, SoftBank.
