Previous deal lands new client for K&S

King Spalding partner Jack D. Capers Jr. landed client Eclipsys Corp., the Atlanta-based health care data technology company that last week announced plans for a $1.3 billion merger with Allscripts-Misys Healthcare Solutions Inc., because of a deal he closed a few years ago.That deal, he said, was the sale of Alpharetta-based medical software provider Per-Se Technologies to health care company McKesson Corp.

Given that 60 percent of the DOJ's FCPA enforcement actions last year involved alleged bribes to employees of state-owned companies, a lot was riding on Lindsey Manufacturing's argument that Congress didn't intend those employees to be considered foreign officials under FCPA. Judge Matz's ruling hewed closely to the specific facts before him, leaving open the possibility that another defendant may yet succeed in a similar challenge.

'Rambus' Ruling Is a Standards Landmark

The Federal Trade Commission's recent decision in the case of semiconductor maker Rambus may have restored the value of the good-faith promise among high-tech competitors. For the first time, the FTC found a company liable for an antitrust violation because it used its patents to subvert the process used by companies to set industry standards for products. The decision was a victory for standard-setting groups, which are critical to the high-tech industry, but may open the door to potential new litigation.
