But for every in-house counsel that hits it big, there's a dozen who take a pay cut and watch their stock options stagnate. Associates' perception of a pre-public Internet company is that "it's better than sex, better than food, better than eternal life," said recruiter Marty Africa. "Associates are turning down companies that have been public for six months for those without inside bathrooms."

Lawyers from Welch Spell, a small Atlanta firm, recently held meetings in six cities as part of an agreement aimed at helping Danish-based Coloplast to buy two business lines from California's Mentor Corp. and expand into the still-fertile area of penile implants. Purchase price: $463 million. Welch Spell partner Laurance D. Pless says the transaction was a complicated one, involving more than a dozen lawyers on both sides. Says Pless: "There were a lot of 16-hour days."
