No Reimbursement Given for Fees on Fees
ALBANY A New York Business Corporation Law provision that allows corporate officers to obtain indemnification does not also entitle them to legal fees incurred in establishing their reimbursement rights, a deeply divided Court of Appeals held yesterday. Lawyers believe the passage of the Gramm-Leach-Bliley Act, which tore down barriers separating the banking, securities and insurance industries, was worthwhile even though recent big bank deals could have been completed without it.
