One day after eBay Inc. announced its deal to acquire GSI Commerce, a shareholder suit was filed in the Delaware Court of Chancery alleging that Michael Rubin, the founder and CEO of GSI, was selling the company at a bargain price to capture the value of company assets for himself.

The complaint inSoutheastern Pennsylvania Transportation Authority v. Rubin alleges breach of fiduciary duties against Rubin and the rest of the GSI board of directors, as well as aiding and abetting claims against eBay.
