In a letter decision that placed on the table the possibility of sanctions and disciplinary proceedings, Vice Chancellor Morgan Zurn has accused attorneys of knowingly filing a frivolous securities complaint.

The decision, filed Wednesday, critiques attorneys representing plaintiff Fintech Consulting for filing a complaint and a motion to dismiss within an hour of each other, but those attorneys maintain they thought filing in the Court of Chancery before taking a federal claim to the District of Delaware was the correct procedural move.
