A recent decision by the 3rd U.S. Circuit Court of Appeals on the issue of the rights of minority shareholders who are unhappy with a merger prompted an outcry from Gov. Tom Corbett and several business groups.
Now the 3rd Circuit has vacated its Aug. 31 decision in Mitchell Partners v. IREX Corp. and agreed to certify the question to the Pennsylvania Supreme Court.
