Determining the Enforceablity of Forum Selection Clauses: State of Confusion?

A forum selection clause in an agreement designates a particular jurisdiction as the forum for dispute resolution between the parties involved. Courts generally uphold these clauses, but a recent pair of New Jersey cases provided strikingly different outcomes from similar fact patterns, raising questions with respect to clauses that do not specifically designate the forum where disputes will be litigated. An analysis of the decisions helps resolve these issues.
