Associates Survey 2008

To find out how Midlevel associates rate their firms as workplaces, our annual midlevel survey examined 12 areas that contribute to job satisfaction. They include relations with partners and other associates, the interest and satisfaction level asso-ciates have in their work, training and guidance, policy on billables, management openness about firm strategies and partnership chances, the firm?s attitude toward pro bono work, compensation and benefits, and the respondents? inclination to stay at their firm for at least two more years. Respondents graded their firms on a scale of 1 to 5, with 5 being the highest score. On this chart, firms with ten or more responses are ranked by their averages on those questions. In the second category are Am Law Second Hundred firms?numbers 101-200 on the most recent Am Law 200 survey (July.) While the Internet has empowered American investors with easy access to information and low-cost online trading, the proliferation of false or misleading information in chat rooms and on financial Web sites raises concerns for securities regulators and public companies. In a report on online trading, SEC Commissioner Laura S. Unger of the recommended that the agency conduct, or encourage researchers to conduct, a study analyzing the effect of chat room discussions on corporate stock prices.

Full 1st Circuit Rules Prospectus Statements Are Not Attributable to Executives for 10(b)(5) Purposes

The 1st Circuit recently issued an en banc opinion that rejected the U.S. Securities and Exchange Commission's reliance on prospectus language in bringing a Rule 10(b)(5) case against broker-dealer executives. The decision overturned an earlier panel ruling upholding the SEC's use of the rule, which bars untrue statements in connection with the purchase or sale of a security. The opinion in SEC v. Tambone, on an issue of first impression, rejected "the SEC's expansive interpretation" of the rule.
