Wachtell, Lipton, Rosen & Katz, Canadian firm Goodmans and Skadden Arps Slate Meagher & Flom represent Spectra Energy Corp. of Houston in its pending acquisition by Canada’s Enbridge Inc. in a stock-for-stock deal valued at $28 billion. Calgary-based Enbridge turned to lawyers from Sullivan & Cromwell and Canadian firm McCarthy Tetrault.

On Sept. 6, Enbridge and Spectra Energy announced a definitive merger agreement that will create one of the largest energy infrastructure companies in North America. The transaction has been approved by the boards of directors of both companies and is expected to close during the first quarter of 2017, subject to shareholder and regulatory approvals.
