Back in 2011, ERG Resources’ appetite for acquisitions led it to Nabors Industries Ltd. subsidiary Ramshorn, which it was hoping to lock into a deal. Ramshorn is an oil and gas company formed under Bermuda law with Class A shares relating to exploration assets in Colombia and is owned by Nabors Global Holdings II, a Bermudan company.

When the deal fell apart, ERG filed a suit in March 2012 stating that Nabors had canceled the pending acquisition, in which ERG had offered $45 million, because the Canadian company Parex Resources (also known as Parex Canada) had offered more money for Ramshorn. Parex Resources has several subsidiaries, including Parex Bermuda and Parex Resources (Colombia). Eventually Nabors sold Ramshorn to Parex. ERG later amended its petition to add a tortious interference claim against Parex. The trial court was the 61st Judicial District Court in Harris County, and the trial judge was State District Judge Al Bennett
