Banking law and documentation is often difficult to penetrate, particularly for junior lawyers, however, the author has succeeded in providing a brief and digestible summary of the key issues that arise in negotiating loan and security documentation. The aim of the author is to provide an introduction to banking law through a practical examination of key banking documents.

The author illustrates, through an analysis of the principal clauses of banking documentation, the key tension in any banking transaction of, on the one hand, letting the borrower conduct its business in the ordinary course and, on the other, ensuring that the lenders’ credit position is maintained.
