The Delaware Supreme Court has affirmed the Court of Chancery’s decision to impose a four-month injunction that temporarily halts Martin Marietta Materials Inc.’s pursuit of a $5.5 billion hostile takeover of rival Vulcan Materials Co.

Martin Marietta filed an appeal shortly after Delaware Court of Chancery Chancellor Leo E. Strine Jr. ruled that the rock mining company violated confidentiality agreements when it prepared the hostile bid to acquire Vulcan and issued the four-month injunction.
