The Delaware Supreme Court has reversed the Court of Chancery, holding that a vice chancellor should not have dismissed for lack of personal jurisdiction a complaint against a foreign company.
Sending the case back to the Chancery Court, the justices said there should be a determination whether the foreign entity knew or should have known it was conducting business activity in Delaware instead of applying the "conspiracy theory" of personal jurisdiction.
