Potter Anderson & Corroon partner Michael Maxwell presented a CLE webinar titled “Structuring LLC Operating Agreements: Fiduciary Duty, Indemnification and Exculpatory Provisions” on Oct. 11.

Hosted by Strafford, the program provided corporate counsel with guidance for drafting provisions in LLC operating agreements that clearly define members’ and managers’ fiduciary duties. The panel also explained how indemnification, exculpation and limitation of liability clauses can minimize risk.
