Davis Polk & Wardwell and Beijing-based Commerce & Finance Law Offices are advising China National Offshore Oil Corp. Ltd. on a $2 billion debt issue on the Hong Kong Stock Exchange. The issuer, one of China’s largest oil companies, has issued 10-year notes worth $1.5 billion and 30-year bonds worth $500 million through a subsidiary. Davis Polk partner Eugene Gregor is leading a team advising CNOOC from the firm’s Tokyo office. Commerce & Finance is the issuer’s advisor on Chinese law. Hong Kong partner Ashley Davies of offshore law firm Walkers is providing British Virgin Islands counsel to CNOOC. Hong Kong mining company CST Mining Group Ltd. is selling its interest in the Mina Justa copper project in Peru to a subsidiary of Peruvian mining company Minsur S.A. Under the terms of the deal, Minsur will pay $505 million for CST’s 70-percent stake in the project. Sullivan & Cromwell is advising CST on the sale. The firm’s team includes Hong Kong partners Kay Ian Ng and William Chua, and Beijing partner Gwen Wong. Hong Kong law firm Charltons is providing document review services to CST, which has appointed Lima-based Muñiz, Ramirez, Perez-Taiman & Olaya as Peruvian counsel. Cleary Gottlieb Steen & Hamilton Hong Kong partner Michael Preston and Lima’s Rodrigo, Elías & Medrano are respectively providing international and Peruvian counsel to the seller.
