Baker & McKenzie‘s Indonesian association partner, Hadiputranto, Hadinoto & Partners, is advising Singaporean bank DBS Group Holdings Ltd. on a $7.3 billion deal that will give it a controlling interest in Indonesia’s PT Bank Danamon Indonesia Tbk. DBS will pay $5 billion to buy the 67.37-percent stake held by Singapore’s sovereign wealth fund, Temasek Holdings Pte. If the deal is approved, Danamon’s minority shareholders would be obliged to sell the remaining $2.3 billion equity to DBS under a mandatory tender offer. Malaysian bank CIMB Group has appointed Slaughter and May as lead counsel for a $279 million purchase of Asian businesses owned by The Royal Bank of Scotland PLC [Editor's note: RBS owns a minority stake in ALM Media, LLC, the parent company of The Asian Lawyer]. The deal comprises the British bank’s cash equities, equity capital markets, and transaction advisory assets in nine jurisdictions. Slaughter and May is acting alongside several other leading firms: Jun He Law Offices in China, Allens Arthur Robinson in Australia, Amarchand & Mangaldas & Suresh A. Shroff & Co. in India, and Allen & Gledhill in Singapore. Paul, Weiss, Rifkind, Wharton & Garrison is providing U.S. counsel to CIMB. Linklaters Hong Kong partner Matthew Middleditch is advising RBS on the sale.
