Vinson & Elkins and White & Case have advised on an $8.5 billion joint venture between state-owned oil companies based in China and Saudi Arabia. Vinson & Elkins Beijing partners Paul Deemer and Nicholas Song advised Chinese oil refiner China Petroleum & Chemical Corp., better known as Sinopec, on an agreement with Saudi Arabian Oil Co., also known as Saudi Aramco, to build and operate an oil refinery on Saudi Arabia’s west coast. Sinopec will hold a 37.5-percent stake in the venture. White & Case acted for Saudi Aramco. Slaughter and May has guided Swire Properties Ltd. on its spin-off and listing by introduction on the Hong Kong Stock Exchange. The company, the real estate arm of Hong Kong conglomerate Swire Pacific Ltd., owns and operates properties including Hong Kong’s Pacific Place mall. The deal did not raise any new funds: the listed shares were distributed among Swire Pacific’s existing shareholders. Hong Kong partner Richard Thornhill and Beijing partner Lisa Chung led Slaughter and May’s team. Jingtian & Gongcheng advised Swire on Chinese law, while Mayer Brown JSM provided Hong Kong, U.S., and English property law counsel. Freshfields Bruckhaus Deringer Hong Kong partners Grace Huang and Ken Martin respectively advised the underwriters on Hong Kong and U.S. law. King & Wood was Chinese legal advisor to the underwriters.
