Corrs Chambers Westgarth and Freehills are advising on the merger of Australian coal producers Whitehaven Coal Ltd. and Aston Resources via a scheme of arrangement. Whitehaven will pay $2.8 billion for Aston, then will pay $500 million for Boardwalk Resources Pty. Ltd. in a linked acquisition. Australian mining magnate Nathan Tinkler is the largest shareholder in Aston and is also the director and majority shareholder in Boardwalk. The scheme of arrangement will be submitted for shareholder approval in March 2012. Corrs Sydney partners Andrew Lumsden and Shaun McGushin are acting for Whitehaven. Herbert Smith is advising Chinese state-owned oil company China Petroleum and Chemical Corp. Ltd., better known as Sinopec, on increasing its stake in the Australia Pacific Liquefied Natural Gas (LNG) project from 10 percent to 25 percent. The project is a joint venture between Sinopec, Houston oil and gas company ConocoPhillips, and Sydney’s Origin Energy Ltd. Sinopec paid $1.5 billion for its initial 10-percent interest, which suggests a value for this deal of about $2.3 billion.
