Thanks to Canada’s proximity to the United States and to Law Society of Upper Canada rules that preclude “foreign legal consultants” from practicing Ontario law, only a few large U.S. firms have offices in Canada. Shearman & Sterling opened its Toronto outpost in 1989. The branch’s 14 lawyers practice U.S. law; the firm says that since 1995, it has handled $60 billion in financings for such clients as provincial governments, Call-Net Enterprises Inc., and the Royal Bank of Canada. Skadden, Arps, Slate, Meagher & Flom’s Toronto branch opened in 1990 and currently has eight lawyers. They practice U.S. law, and clients include Clearnet Communications, Inc., Merrill Lynch & Co., and Research in Motion Limited. Baker & McKenzie conducts a Canadian law practice from its 62-lawyer Toronto office, which opened in 1961. Coudert Brothers moved into the Montreal market in 1997 through acquisition of the 20-lawyer firm McDougall Caron. In addition, two New York firms — Fried, Frank, Harris, Shriver & Jacobson and Brown Raysman Millstein Felder & Steiner — formed alliances last year with Toronto firms. Fried Frank’s is with McCarthy T�trault; Brown Raysman’s is with Mann & Gahtan.
