The Delaware Supreme Court has now spoken on Disney’s highly publicized buyout of Michael Ovitz’ 1995 employment agreement.

The Court of Chancery had previously dismissed the stockholders’ challenge to the handling of that agreement, drawing a colorful analogy between buoyancy and corporate governance — no matter how big the boat or how big the deal, the same principles keep the thing afloat or sink it.
