When drafting and/or negotiating an agreement that will involve click-throughs from an advertising banner or web site to another web site, the party that will compensate the other for the links should be aware that mechanical devices can be used to create non-end-user click-throughs that may result in artificially inflated numbers. This clause addresses and seeks to prevent such occurrences. As added protection, the agreement should also provide for comprehensive audit rights.
