New York — July 26, 2005 — Chadbourne & Parke LLP represented Fortune Brands, Inc. on U.S. legal matters in the purchase from Pernod Ricard SA of certain spirits and wine brands that Pernod obtained in its acquisition of Allied Domecq PLC today. Fortune Brands said it would pay an agreed price of approximately �2.8 billion (US$5 billion at current exchange rates) in cash for the brands, related production facilities and key distribution assets. Working on the deal for Chadbourne are partners Edward Smith, William Cavanagh and Charles Hord, as well as associates Rachel Lee, Kessar Nashat and Dorothy Wisniowski. Chadbourne represented Fortune Brands on certain U.S. matters and also represented the company on financing for the deal. Fortune will acquire more than 20 spirits and wine brands that will elevate the level of its portfolio. Fortune owns major spirits and wine brands through its Jim Beam Brands Worldwide, Inc. subsidiary. The deal marks the second Chadbourne has done for Fortune in recent months.
