Blank Rome and Pepper Hamilton played key roles in SunGard Data Systems’ recent $590 million acquisition of e-education technology solutions provider Systems & Computer Technology Corp. (SCT). The transaction, which was announced Dec. 10 and closed Feb. 12, had an aggregate value of $590 million and was completed for $16.50 per share in cash. The transaction was structured as a long-form merger, requiring a proxy statement filing with the U.S. Securities and Exchange Commission followed by a meeting of shareholders, who voted for the deal. Blank Rome represented SunGard, and Pepper Hamilton represented SCT. Blank Rome’s deal team included corporate partners Richard J. McMahon and Kipp B. Cohen, and associate Kara A. Dougherty. That core group received assistance from members of the firm’s real estate, intellectual property, and employment, benefits and labor practice groups. Pepper Hamilton’s deal team included corporate partners Barry M. Abelson and Robert A. Friedel, and associate Steven J. Abrams. They were assisted by ERISA partner David M.
