Juniper Networks Inc. may have done the buying in its acquisition this week of Netscreen Technologies Inc., but joining the celebration were two Silicon Valley law firms that handled the nearly $4 billion deal. On Juniper’s side of the deal table was Wilson Sonsini Goodrich & Rosati, while Fenwick & West represented Netscreen. The deal, big by even Internet-bubble standards, was a welcome shift for Valley corporate lawyers whose clients had slowed down their deal activity since the economic downturn began. For Matthew Quilter, a Fenwick partner, the deal meant saying farewell to a management team he has represented since Netscreen was an idea just being hatched. “There’s always mixed feelings,” Quilter said. “I’m really happy for the company but there’s some wistfulness to losing the day-to-day contact.” Quilter added that he was pleased to be working on a deal that involved two well-performing technology players and wouldn’t likely result in major layoffs. The two companies, both based in Sunnyvale, have complementary products without a lot of overlap, Quilter said. Juniper makes computer network switching equipment, and Netscreen makes network security products. The deal was finally inked about 4 a.m. Monday, which was on time according to Juniper’s goal of having it signed before the market opened later that day. The final days of negotiation — a weekend marathon session at Wilson Sonsini’s Palo Alto offices — ended up being an intense orientation for one Juniper lawyer, said Steve Camahort, a Wilson partner on Juniper’s team. “This was a tremendous effort from both companies’ legal teams, with the round-the-clock weekend value-add of Juniper’s new General Counsel Mitchell Gaynor being particularly noteworthy,” Camahort wrote in an e-mail, “given that the Monday announcement coincided with his official start date with Juniper.” Juniper’s legal department also put Jodi Sutton, Allen Lo, Kenneth Niven and Robert Atherton to work on the deal. The Wilson deal team included partners Larry Sonsini, Bradley Finkelstein, Katharine Martin, Bret DiMarco, Roger Stern, Charles “Chris” Compton, Ivan Humphreys and Marc Gottschalk. The Wilson associates on the deal included corporate specialists Margo Eakin, Vijaya Gadde, Brandon Howald, Brian Thomas, Daniel Rodriguez, Lisa Stimmell and Richard Blake. Lending expertise in specialty areas were Wilson associates Heidi Holter, Blake Martell, Daniel Stellenberg, Michelle Wallin, Scott Sher, Vicente Reyes, Shannon Melville, Kevin Keller and David Fligor. Representing Netscreen alongside Quilter were Fenwick partners Stephen Gillespie, David Lisi, Daniel Johnson Jr., Scott Spector, Ronald Schrotenboer and Connie Ellerbach. Lending an assist were corporate associates Katrin Robb, Melissa Eisenberg, Melanie Grace, Brian Hicks, Douglas Stewart, Nicole Harper, Paul Nelson and Yoonie Chang. The Fenwick associates from specialty practices on the deal were Michael Blum and Tahir Naim. Netscreen General Counsel Tomas Tovar led an in-house team comprising Michael Johnson, Robert Bradley, Brad Johnson and Lana Krtolica.
