Santa Clara-based Zoran Inc., a maker of chips for DVD players and digital cameras, has acquired Sunnyvale-based Oak Technology Inc. for $358 million. Attorneys in the Palo Alto office of Gray Cary Ware & Freidenrich represented Zoran. Chicago’s Wildman, Harrold, Allen & Dixon represented Oak in the transaction. Oak Technology makes chips used in high-definition television. Zoran has been interested in entering the burgeoning HDTV business for some time, and the two companies had been in talks before. “These companies have known each other for a long time and had been in conversations of sorts, but the deal got serious about a week ago,” said Dennis Sullivan, the lead partner on the deal at Gray Cary. And the pressure was on because both companies wanted to get the deal done in a hurry. “We had about 25 lawyers working on different aspects of the transaction. We all surprised ourselves with what we were able to do,” Sullivan said. Gray Cary served as the sole legal adviser to Zoran. Working in addition to Sullivan were corporate associates James Schumacher, Andrew Thornborrow, Vanessa Mandel Ripsteen, Steven Davis; intellectual property partners Maureen Dorney and Ian Feinberg; IP associates Marvin Pena and William Goldman; employment partner Mary Lavigne-Butler; and employee benefits partner William Hoffman. John Eisel was the lead partner on the deal at Wildman, Harrold. Oak General Counsel D.J. Powers handled the deal in house for the company. GENOMIC/GENEMACHINES Holliston, Mass.-based biotech instrumentation maker Genomic Solutions Inc. has purchased San Carlos-based GeneMachines Inc. for $8.1 million. Lawyers in the Detroit-based law firm of Jaffe Raitt Heuer & Weiss represented Genomic Solutions. Attorneys at Menlo Park’s White & Lee represented GeneMachines in the deal. “All of the companies in this space have seen real slowdowns in their business,” said David Lee, the lead partner on the deal at White & Lee. “A year ago this company was looking at selling for $40 million, but the lowering tide lowers all boats.” GeneMachines designs and manufactures instrumentation for DNA synthesis and nucleic acid sample preparation, among other things. Genomic Solutions is a subsidiary of Harvard Bioscience Inc. In addition to Lee at White & Lee, associates Robert Dang and Joey Tran worked on the transaction. Jaffe Raitt partner Peter Sugar served as the lead partner for Genomic Solutions. James Kamp of Bloomfield Hills, Mich.-based Rader, Fishman & Grauer also worked on the deal.
