TORTS dismissing a claim for tortious interference with prospective economic advantage brought by the chairman and CEO of a company against the defendant who was responsible for organizing the deal to sell the company, a New York federal court determined that the defendant’s failure to disclose that he stood to benefit personally from the deal to all of the company’s independent directors was not the reason they decided to go through with the deal rather than wait for a better deal because none of the directors was disturbed or suggested that the deal should be set aside when they subsequently learned of the situation.
