In the U.S., the Antitrust Division of the Department of Justice (DOJ) and the Federal Trade Commission (FTC) announced significant changes to merger review and the merger filing process. In December 2023, the FTC and DOJ issued the 2023 Merger Guidelines, which reflect a more expansive and aggressive approach to merger review and enforcement. These guidelines purport to address harms from perceived “excessive” corporate consolidation and follow the agencies’ approach to merger enforcement during the Biden administration.
