McGraw-Hill Financial Inc, parent company of Standard & Poor’s, has offered to acquire 22.2 percent of Crisil Limited, India’s largest bond rating agency, for $335 million. McGraw-Hill currently holds a major stake of 52.8 percent in Crisil and is hoping to increase its controlling stake to 75 percent. Singhania & Partners is representing McGraw-Hill, led by Delhi partners Ravi Singhania and Manish Kumar Sharma. Khaitan & Co partner Arindam Ghosh and Mumbai partner Sudhir Bassi are acting as legal counsel to the underwriter, Morgan Stanley India Company Pte. Ltd.

Amarchand & Mangaldas & Suresh A. Shroff & Co. has represented Adani Ports and Special Economic Zone Ltd., a port manager operating in India and Australia, in a $180 million institutional private placement. Mapletree Greater China Commercial Trust, a Singapore-based investment company focusing on office and retail properties in China, is seeking to raise $1.5 billion from a planned Euro medium term bonds program. Allen & Gledhill partner Glenn Foo and Paul Hastings are advising Mapletree on Singapore and Hong Kong law, respectively. Allen & Overy is acting as U.K. counsel for the arrangers and trustee.
 
Shook Lin & Bok partners Wong Gang & Tan Wei Shyan are acting for TEE International Ltd., a Singapore-based companies that provides property construction and management services primarily in the Southeast Asia, on a planned $191 million initial public offering on the Singapore Stock Exchange. Part of the proceeds raised will be used to replace the existing $235 million debt of ASX’s Clearing Corp. subsidiary. Watson, Farley & Williams Singapore partner Andrew Nimmo and Malaysian law firms Zul Rafique & Partners advised oilfield services provider SapuraKencana Petroleum Bhd. and Petrofac Ltd. on a $300 million loan to refinance development of a gas production facility in Malaysian waters. SapuraKencana and Petrofac are oilfield services providers based in Malaysia and London, respectively, covering activities such as installation and maintenance of pipelines. The four lending banks—Malayan Banking Bhd., Natixis Singapore Branch, Standard Chartered Bank, and Sumitomo Mitsui Banking Corp.—were advised by Norton Rose and Kuala Lumpur–based Azmi & Associates.
