The court of appeals affirmed a district court judgment in part, vacated in part, and remanded the action for further proceedings. The court held that a district court did not err in denying class action counsel any fee award where the law firms incentive fee agreements with certain class representatives meant the firm was disregarding established ethical rules by knowingly representing clients with conflicting interests without written informed consent.
