After helping Select Energy Services go public in April, Vinson & Elkins is advising the Gainesville water services company in its pending merger with privately held Rockwater Energy Solutions in a stock-for-stock transaction. Baker Botts represents Houston-based Rockwater.

The merger will create a company with annual revenue reaching as much as $1.3 billion.

Select provides total water services to the unconventional oil and gas industry. Rockwater provides complementary chemical products and expertise related to water solutions for the same industry.

After the July 18 deal closes—expected in the third quarter—Select shareholders will own about 64.4 percent of the combined company, and Rockwater shareholders will own about 35.6 percent. Once the merger is complete, all water-related services will consolidate under the Select brand name. Rockwater’s chemicals business unit will keep the Rockwater brand name.
