Audrey Andrews, senior vice president and general counsel at Tenet Healthcare Corp., is using lawyers from Gibson, Dunn & Crutcher for the Dallas company's pending acquisition of Vanguard Health Systems Inc. for $4.3 billion, including $2.5 billion in debt.

Vanguard, based in Nashville, turned to Skadden, Arps, Slate, Meagher & Flom.

On June 24, Tenet and Vanguard announced a definitive agreement calling for Tenet to acquire Vanguard for $21 per share in cash. The boards of both companies have approved the acquisition, and it is expected to close by the end of the year. It is subject to customary closing conditions and regulatory approvals.

New York corporate partners Barbara Becker and Dennis Friedman lead the Gibson Dunn team for Tenet. Others are corporate associate Saee Muzumdar and finance partner Aaron Adams, both of New York. Also, Paul Castanon, deputy general counsel at Tenet, is involved.

The Skadden team includes mergers-and-acquisitions partners Joseph Coco and Peter Serating, both of New York, tax partner John Rayis of Chicago and executive compensation and benefits partner Regina Olshan of New York.
