Nippon Steel Corp. has agreed to acquire United States Steel for approximately $14.9 billion, including the assumption of net debt. The transaction, announced Dec. 18, is expected to close in the second or third quarter of 2024. Tokyo-based Nippon Steel was advised by Ropes & Gray. United States Steel, which is based in Pittsburgh, was represented by Milbank and a Wachtell, Lipton, Rosen & Katz team led by corporate partners Joshua R. Cammaker and Jenna E. Levine. Fried Frank counseled Barclays Capital Inc. and Goldman Sachs & Co., acting as financial advisors to United States Steel. The Fried Frank team was led by partners Steven Epstein, Philip Richter and Roy Tannenbaum.
