Several law firms advised Cigna in connection with the sale of its Medicare Advantage, Medicare Supplemental Benefits, Medicare Part D and CareAllies business units to Health Care Service Corp. for approximately $3.7 billion. The transaction, announced Jan. 31, is expected to close early in 2025. Cigna sought counsel from a Wachtell, Lipton, Rosen & Katz team led by corporate partners David E. Shapiro and Jenna E. Levine. Rule Garza Howley; Mintz, Levin, Cohn, Ferris, Glovsky and Popeo; and Sidley Austin served as regulatory counsel. The Sidley Austin team included partners Stephanie H. Dobecki, Andrew R. Holland and Jonathan J. Kelly. Health Care Service, which is based in Chicago, was advised by Cravath, Swaine & Moore, while Foley & Lardner; O'Melveny & Myers; and Reed Smith acted as regulatory counsels. The Cravath Swaine team was led by partners Aaron M. Gruber and Claudia J. Ricciardi.
