Corporate Deal

An affiliate of Veritas Capital has agreed to acquire digital commerce technology provider NCR Voyix Corp.'s cloud-based digital banking business for $2.45 billion in cash. The transaction, announced Aug. 6, is expected to close by year-end. Veritas was advised by a Gibson, Dunn & Crutcher corporate team led by partners John Pollack and Lilit Voskanyan. NCR Voyix, which is based in Atlanta, was represented by King & Spalding. The King & Spalding deal team included partners Rahul Patel, Keith Townsend and Michelle Stewart. Sullivan & Cromwell partner Stephen M. Kotran guided Goldman Sachs & Co., acting as financial adviser to NCR Voyix. Paul Hastings counseled the lenders in connection with the transaction.
