Sullivan & Cromwell has guided Taiwan Cement Corp. in connection with a share purchase and restructuring agreement with charity and pension fund Ordu Yardimlasma Kurumu. Taiwan Cement and Ordu will acquire a shared ownership interest in the holding company of OYAK Cimento Fabrikalari and Taiwan Cement will acquire Cimpor Portugal for an aggregate total consideration of approximately $2.2 billion. The Sullivan & Cromwell team included partners Juan Rodriguez and Gwen Wong. Ordu, which is based in Ankara, Turkey, was represented by an Esin Attorney Partnership team.
