We agree with the New Jersey Supreme Court’s decision to deny certification to a lawyer who tried to shield his new law practice from a back rent judgment against his prior firm.

In Louro v. Pedroso, the landlords brought an action for outstanding rent against Filipe Pedroso and his law firm—a professional corporation (PC) in which he was the sole shareholder. Thereafter, Pedroso established a new limited liability company (LLC) in which he was the sole member.
