Jeffries brought an action for breach of contract, breach of warranty, negligence and other relief in connection with remodeling work and construction of an addition to the plaintiffs' residence. Jeffries sought to hold Rosenberg, principal of design and project management company Dyan Rosenberg Inc. (DRI), and Larkin, principal of home improvement contractor Willow Woodworking Inc., personally liable for all of the alleged damages sustained to the residence as a result of their alleged negligence, breach of contract and breach of warranties. The court granted the motions for summary judgment submitted by defendants Rosenberg and Larkin dismissing plaintiffs' claims against them individually, determining that Jeffries failed to demonstrate any reason why the court should disregard the corporate entities of either DRI or Willow. The court added that the individual defendants adhered to corporate formalities and kept corporate assets separate from personal assets.
