Justice Charles J. Markey

Plaintiff Baldeo and defendant Majeed jointly decided to create 125 Liberty Medical PLLC but, at the time of the formation and until 2009, Majeed was its sole member. Majeed was primarily responsible for patients’ treatment while Baldeo provided administrative, management, and marketing services. Baldeo alleged that he purchased a 98 percent interest in Liberty and that he and Majeed, who retained the remaining 2 percent, are its current members. Majeed contended the transfer of the 98 percent interest was not effectuated because Baldeo defaulted in payment. Majeed later resigned and started practicing at offices located six blocks from Liberty. Baldeo alleged that Majeed misappropriated trade secrets and confidential patient information, improperly used that information to solicit Liberty’s patients for his new practice, and misrepresented to patients that the new office is a Liberty facility. The court denied Baldeo’s request for injunctive relief, but restrained Majeed from holding himself out as a representative of Liberty in light of the goal of protecting the interests of the patients involved.
