A shareholder has filed a derivative suit against Square and Cash App parent company Block Inc. claiming the company illegally failed to register stock it distributed and kept share prices inflated by failing to disclose a data breach for months.

Rigrodsky Law, with Rosca Scarlato of counsel, filed the complaint Wednesday in the Court of Chancery, bringing claims against Block’s co-founder and chairperson, Jack Dorsey, along with Block’s 10 other board members, including Jay-Z, who founded the majority Block-owned music platform TIDAL.
