In January, 2021, a major new merger control law – Law 31112 – was published in Peru. It introduces a new regime that will come into force by the first quarter of 2021.
According to the law, all transactions that involve a change of control within a company or part of it (mergers, joint ventures, assets acquisitions, among others) and that meet the notification thresholds, will require prior authorization from the antitrust branch of the Instituto Nacional de Defensa de la Competencia y de la Protección de la Propiedad Intelectual (INDECOPI).
