KnowBe4 Inc., a cybersecurity phishing platform, was hit with a lawsuit to compel the inspection of books and records Monday in Delaware Court of Chancery. The court action arises from the proposed acquisition of KnowBe4 by affiliates of Vista Equity Partners for $4.6 billion. The suit, filed on behalf of stockholder Bill Le Clair, seeks to determine whether breaches of fiduciary duty have occurred in connection with the merger. The complaint was brought by Labaton Sucharow and Julie & Holleman. Counsel have not yet appeared for the defendant. The case is 2023-0108, Bill Le Clair v. Knowbe4, Inc.
