Latham & Watkins and Richards, Layton & Finger filed a lawsuit Monday in Delaware Court of Chancery on behalf of 10X Capital Venture Acquisition Corp. III in connection with its Dec. 2022 de-SPAC merger. The complaint contends that Sparks Energy Inc., a power infrastructure services firm, fails to recognize the merger agreement and has ceased all work on preparing a registration statement. The suit seeks to declare that the agreement is a binding and enforceable contract and that the agreement requires the defendant to consummate the merger. Counsel have not yet appeared for the defendant. The case is 2023-0099, 10X Capital Venture Acquisition Corp. III and 10X Sparks Merger Sub, Inc. v. Sparks Energy, Inc.
