Partners Clayton Parker and Matt Ogurick in the K&L Gates Miami office acted as primary counsel for NeoGenomics when the cancer genetics diagnostic testing company purchased Clarient Inc. from General Electric Healthcare Life Sciences in a deal valued at $310 million last October. Parker and Ogurick drafted and negotiated the stock purchase agreement, conducted a due diligence review, assisted in the preparation of a 450 page proxy statement, and prepared an additional listing application for the issuers common stock on NASDAQ. The K&L lawyers also had to negotiate and draft a $55,000,000 credit agreement with Alliance Bernstein, a $25 million credit facility with Wells Fargo, and assist in the preparation and filing of a Hart Scott Rodino antitrust filing.
