Andr? Frieden is Deputy General Counsel at Capgemini, a publicly traded multinational IT services company with over $18 billion in annual revenue. He negotiates the company’s large-scale, strategic IT transactions, including those focused on digital transformation, automation, artificial intelligence, and other emerging technologies. He also manages the company’s regulatory compliance in North America, including export controls. Previously, Andr? served as Chief IP Counsel and Chief Compliance Counsel at large privately held and publicly-traded technology companies. Prior to that, he worked at two major law firms, where he represented Fortune 100 companies, research institutions, tech startups and governmental organizations on a wide range of IP, IT, and e-commerce matters. He has published extensively on topics relating to IP protection, software licensing, cross-border technology partnerships, IP portfolio commercialization, and cybersecurity/data privacy. His legal education includes an LLM in IP Law, a Juris Doctor, and a certificate in international legal studies. Andr? speaks English, French, Portuguese, and Spanish.

As Chief Administrative Officer and Corporate Secretary, Brandon oversees the Legal and Government Affairs, Communications and People Success departments at LendingClub. Previously, Brandon served as General Counsel and Corporate Secretary where he handled all government affairs and legal matters for LendingClub. Prior to that, Brandon was the SVP, Deputy General Counsel, Assistant Secretary and the Head of Corporate Legal for LendingClub, managing the corporate legal functions including corporate reporting and M&A, intellectual property, investigations and litigation, operations, privacy, and regulatory change management.

Before LendingClub, Brandon was the Vice President, Deputy General Counsel for eBay, which, for many years, also owned PayPal. At eBay Brandon was responsible for several global legal functions including Asset Protection, Investigations and Litigation, Patents and Open Source, Regulatory matters, and Technology Transactions. Preceding eBay, Brandon spent many years in private practice primarily at international law firms representing technology and financial companies in commercial, intellectual property, investigations, and regulatory and litigation matters.

Brandon received a Juris Doctor from the George Washington University Law School and a Bachelor of Arts from Brigham Young University. He is a member of the State Bars of California and Utah.

Meghan’s ability to counsel clients is informed by her experience in high-level public consumer protection roles and first-hand experience in leading and resolving multistate attorney general investigations in key industries including education, financial services, health care, hospitality, pharmaceuticals, and telecommunications. She also understands the regulatory challenges facing general counsels, having served in a privacy and marketing compliance role for a multibillion dollar consumer-facing corporation. She is able to draw on her experience both as an enforcer and as a businessperson, to counsel clients as they develop compliance strategies that align with their business goals, and navigate regulatory challenges.

Before coming to Cozen O’Connor, Meghan served as chief of the Consumer Protection Division in the Office of the Nebraska Attorney General. In that role, Meghan was responsible for the investigation and enforcement of state and federal laws related to deceptive and unfair trade practices, data privacy and security, antitrust, nonprofits, tobacco regulation, and charitable trusts. She has litigated cases in both state and federal court involving alleged violations of the Nebraska Consumer Protection Act, Nonprofit Corporation Act, and other state and federal consumer protection laws. She has directed investigations involving compliance with the TCPA, the Telemarketing Sales Rule, CAN-SPAM, and counseled on investigations involving the FDCPA, Gramm-Leach-Bliley, FCRA, HIPAA, ECPA, FERPA, and the federal Food, Drug and Cosmetic Act.

Prior to serving in the Nebraska Attorney General Office, Meghan was senior privacy and marketing compliance analyst at the multibillion dollar Deluxe Corporation, provider of check printing and related business services. She advised the general counsel, chief privacy officer and business units on litigation risk and strategies for compliance with privacy laws, including GDPR.

Meghan also formerly served for almost a decade in the consumer protection and antitrust division of the Office of the Kansas Attorney General. Meghan has extensive experience, through her roles in Kansas and Nebraska, in coordinating closely with federal law enforcement agencies including the Federal Trade Commission, the Consumer Financial Protection Bureau, and the U.S. Department of Justice, to ensure consistent interpretation and judicious application of federal consumer protection laws.

Meghan graduated magna cum laude with a B.A. in history and communications study from Texas Christian University, where she was a member of the Phi Beta Kappa National Honor Society. She received her J.D. from the University of Colorado, School of Law where she received the Melanie Ruth Vogl Memorial Scholarship.

Jerry Kilgore

A former Virginia Attorney General (AG) and Virginia Secretary of Public Safety, Jerry offers his clients facing State AG and other governmental investigations the benefit of counsel with 360-degree perspective, gained through a combination of private practice, government service, and political involvement. His distinguished political career has afforded Jerry connections at all levels within State AG offices, and bi-partisan respect within the AG community. He has earned a reputation as a trusted legal and policy adviser on both sides of the aisle, and is politically active at the local, state, and federal levels. This diverse experience has honed Jerry’s ability to identify the appropriate route to take in any given circumstance to efficiently advance his clients’ interests.

Jerry advises clients — including market disrupters, companies in transition, industry leaders, and trade associations — in connection with important government investigations and consumer protection matters, and the interplay with Attorneys General and public policy. He is also a seasoned litigator and has significant experience handling multi-state actions. In recent years, Jerry has focused his practice on businesses in higher education (including for-profit colleges and universities), healthcare, cannabis, energy, timeshares, and the hospitality industry. Jerry also has significant experience in the FinTech arena, particularly with respect to products and platforms directed toward consumers, such as payment and loan technologies.

In all matters he handles, Jerry operates from a position of positivity, firm in his conviction that the challenge confronting his client can and will be met. He uses the insider’s perspective he gained from his service as Virginia Attorney General to navigate paths that might elude some — and to blaze new ones where needed — to reach a solution with which all stakeholders are comfortable.

As attorney general of Virginia from 2002-2005, Jerry served on the executive committee of the National Association of Attorneys General and as chairman of the Republican Attorneys General Association. He worked with the federal government, the state legislature, and other stakeholders to promote a business friendly environment. Jerry served as secretary of public safety under Governor George Allen from 1994 to 1998 and as assistant U.S. attorney for the Western District of Virginia from 1987-1992. He also has significant prior experience as a state-level lobbyist.

Jerry donates time to building legislative and executive support for America’s Kids Belong/Virginia Kids Belong, a program to encourage the adoption of children out of foster care. He also serves as chairman of the board of Appalachian School of Law.
