In the largest technology merger to date, fiberoptic equipment maker JDS Uniphase Corp. is set to acquire SDL Inc. for approximately $41 billion in stock. JDS Uniphase, based in Nepean, Ontario and San Jose, was represented by a team of Morrison & Foerster attorneys led by partner John Campbell. Of counsel P. Rupert Russell and associates E. John Park, Brian Chase, Charles Kim, Edward Lee and James Birkelund assisted from the San Francisco office, along with tax partner Stuart Offer and tax associate Joy MacIntyre. Others working on the deal included benefits partner Ellen Marshall and associate Timothy Verrall from the Irvine office and partner Patrick McCabe. Labor associate Walter Stella and antitrust partner W. Stephen Smith, in the Washington, D.C., office, completed the MoFo team. JDS Uniphase attorneys handling the deal were Michael Phillips, Christopher DeWees, William Gerson and Matthew Fawcett. SDL was represented by Sullivan & Cromwell partner Alison Ressler and associates Patrick Brown and P. Jonas Svedlund, of the firm’s Los Angeles office. In addition, of counsel Richard Alpern and associates Sandra Cohen and Terrence O’Reilly, from the firm’s New York office, provided benefits counsel and partner William Dallas Jr., also from New York, provided antitrust counsel. Wilson Sonsini Goodrich & Rosati partner Steve Camahort represented Thomas Weisel Partners, the investment bank advising SDL.
