A restrictive covenant can’t be transferred from one company to another as part of an acquisition, a Pennsylvania common pleas court judge has ruled.
Dauphin County, Pa., Common Pleas Judge Joseph H. Kleinfelter said the two employees involved in the case did not give either express or implied consent to transfer the restrictive covenant to the their new employer.
