LONG RELATIONSHIP WITH CEO LEADS TO $ 2.8 BILLION DEAL That HELLER EHRMAN’s Jon Gavenman represented Macrovision Corp. in its $2.8 billion acquisition of Gemstar-TV Guide International Inc. earlier this month isn’t surprising. Gavenman, who moved to Heller when the firm acquired Venture Law Group, has made a career of working with tech companies. Having grown up in Silicon Valley with parents involved in the budding technology industry, he said, he was naturally drawn to his practice area. “The confluence of finance and law and technology is why I find myself here,” he said. He has represented clients from “two guys and a dog in a garage all the way up to [companies with] a couple billion-dollar market cap.” More surprising than Gavenman’s path to his practice area is the deal � Santa Clara-based Macrovision had to unhinge its jaws, raising $800 million in debt, more than a fourth of the deal, before it could gobble up the larger Los Angeles-based Gemstar-TV Guide, Gavenman said. “There have not been all that many deals announced since that [credit] turmoil started,” he noted, adding that even fewer deals have been made in which smaller firms acquire larger ones. Macrovision, which made its name developing anti-piracy software, hopes to combine with Gemstar-TV Guide’s established program guides to provide consumers with entertainment on a variety of electronic devices, according to the press release about the deal. “Macrovision definitely has a vision for the digital living room for the future,” Gavenman said. He has represented the company since the summer of 2006, but the roots of his involvement stretch back to 1999, when he first worked with Macrovision’s current CEO, Fred Amoroso. At the time, Amoroso was CEO of Crossworlds Software. Gavenman worked with the company, helping it go public and later be acquired by IBM. The two worked together again a few years later when Amoroso became CEO of META Group Inc. When Amoroso later became CEO of Macrovision, they worked together again. Gavenman said he loves getting to work with innovators. The people are what makes being a Valley lawyer fun, he said. That, “and it’s home.” His father worked for Lockheed Martin in the ’50s, then went on to work for a number of startups. His mom was a programmer for Stanford’s linear accelerator and later a software consultant. Gavenman definitely grew up a Valley kid. “I learned programming languages that nobody uses any more like Pascal and Fortran,” he said � knowledge he now describes as “arcane.” Gavenman was assisted by partner Steven Tonsfeldt and associates Kristen Kercher and Frank Martin.
