For the lawyers working on Advanced Medical Optics’ acquisition of IntraLase Corp. for $808 million, the deal was all about relationships. Both companies are based in Orange County and were familiar with each other’s products and people. The lawyers involved � Stradling Yocca carlson & Rauth for IntraLase and Skadden, Arps, Slate, Meagher & Flom for Advanced Medical Optics � also had some lengthy ties. Skadden partner Brian McCarthy and Stradling partner Michael Mulroy had worked together on deals back when Mulroy was an investment banker. “It was so smooth,” McCarthy said. “While all deals have their moments, this one had less of them.” McCarthy attributes the ease, in part, to that fact that the parties knew each other previously and had developed mutual respect. “It was a nice marriage waiting to happen,” Stradling’s Mulroy agreed. Both law firms had worked with their clients since they each went public several years ago. Since they were both public companies, this transaction involved pretty routine mergers and acquisitions work, the lawyers said. “The diligence issues were pretty standard IP � looking at the technology that the company owns,” McCarthy said. That technology � which involves laser vision correction � was interesting since it made sense to friends and family who would ask what the lawyers were working on. LASIK procedures to correct vision are pretty common, Mulroy noted. “It’s kind of neat because it’s not just widgets going into an assembly line that you don’t see used in the real world,” he said. “The technology actually helps people see better.” “From my point of view, being a layman, it’s been interesting to get into the science of this area and see how the technology has been developing,” McCarthy said, adding that its relevance is growing as the population grays. The cash transaction is expected to be completed in the second quarter of 2007, subject to stockholder and regulatory approval. The Stradling team included Orange County partners Bruce Feuchter and Mulroy; Timothy O’Brien, a San Diego-based partner; as well as San Diego associate Patrick Murphy and Orange County associate Michael Lawhead. The Skadden team included Los Angeles partners McCarthy and Kenneth Betts; Los Angeles associates Troy Vigil, Qumars Montazeri, Amy Goetz, Yoni Fife, Mike Beinus, Gary Green, Kimberly Brener, Albert Stemp, Raymond Zolekhian, Williana Chang and Zoila Davis; Palo Alto associates Ronald Turiello Jr. and Michele Gustafson; and San Francisco counsel Jane Kroesche as well as several lawyers in New York and Brussels.
