Miller is his willingness to put in whatever it takes to get a deal done. “I come from an environment where we rolled up our sleeves and did everything. Finding someone like Jimmy who has that same attitude is nice,” Albert says. Albert, who has worked with Miller on several large deals as Dynegy reinvents itself into a traditional power generating company, says Miller’s attention to detail and stamina stand out. “The guy doesn’t sleep. His attention to detail is that significant. He will stay up and baby-sit a deal 24/7,” Albert says. Not only is Miller a master dealmaker, lately focusing on billion-dollar divestitures for the company’s repositioning, but he also manages the litigation section. Carol Graebner, Dynegy’s general counsel, says that’s a testament to Miller’s adaptability. “One of the things that I value so highly about Jimmy is his versatility, his willingness to take on new and difficult tasks,” she says. Miller started out doing transactions at Dynegy in 1998. In 2001, he moved up to general counsel of the Dynegy Global Communications subsidiary. Then the telecom industry bottomed out and Dynegy’s new CEO, Bruce A. Williamson, decided to refocus on power generation. In 2003, the company sold Global and put Miller’s mergers and acquisitions skills to work divesting businesses Williamson had targeted, including seven power plants. Last year Miller managed the $2.3 billion sale of Illinois Power to Ameren. In August, Dynegy signed a deal to sell Dynegy Midstream Services to Targa Resources for $2.5 billion. The company also closed a deal to acquire Sithe Energies for $1 billion in January, which Miller worked on between divestitures. Also earlier this year, Dynegy lost its litigation section manager, and Graebner turned to Miller. “Jimmy immediately came to mind,” she says. Much of the company’s litigation involved companies Miller was disposing of and his intimate knowledge would come in handy, she thought. “It just seemed obvious to me that he could do the job,” she says. Miller’s role is largely managerial, reviewing bills and guiding six lawyers in the section, who in turn manage the firms that handle cases. While balancing that with his commercial practice, Miller also works with Albert on tax planning and corporate structuring. “Jimmy’s got a great mind. He can look at an idea and help you get there legally,” Albert says. One idea Miller and Albert have developed over their years of dealmaking is the “early decoupling” of Dynegy corporate from a business the company plans to sell. “Sale of [a] business is a disruptive thing. You try to make this as smooth as possible,” Miller says.
